（税务）把员工改成 Subcontractor？

“Boss，我想把全部员工转成 subcontractor。”

上个星期，CNY 过后。

他讲话很实际，很理性。

“市场慢。如果改成 subcon，我可以省 EPF employer 部分、SOCSO，还有那些 statutory cost。一个月省几千块。”

我没有马上回应。

我慢慢问他。

“他们 9am 上班？”

“是。”

“要 punch card？”

“是。”

“穿公司 uniform？”

“是。”

“跟其他 admin staff 一样申请 leave？”

“是。”

“可以 claim medical？”

“是。”

我轻轻问他一句：

“那你觉得，他们是 employee 还是 subcontractor？”

他有点 defensive。

“我们有签 subcontractor agreement。只是把 employment contract copy 过来，改个 title 罢了。”

我再问一句。

“Agreement 有 stamp 吗？”

他有点不耐烦。

“为什么要 stamp？”

我停了一下。

“你觉得 authorities 只是看 title 吗？”

电话那边静了

我讲得直接一点。

改名字，不等于改本质 substance。

如果固定时间上班，

跟公司 rules，

穿 uniform，

要请假，

可以 claim medical。

本质上就是 employment。

Authorities 看的是 control。

不是你 creative 不 creative。

EPF + SOCSO + PCB + penalty + backdated contribution。

本来一个月省 RMx,xxx，

最后可能变成 RMxxx,xxx 的 exposure。

还没算 staff morale 跟 trust 的问题。

我明白现在成本压力很大。很多 SME 今年都在 review manpower structure。

Restructure 没错。但 restructure 一定要 defensible。Not pasar malam kind

其实是有合法方式去 optimise manpower cost。

可是一定要一开始就 structure 好，

不是 copy employment contract 改个名字。

Strategy 不是避成本。

Strategy 是避不必要的风险。
